MCI AND NEWS CORP. ANNOUNCE JOINT VENTURE TO LAUNCH NEW INTERNET-BASED
ONLINE SERVICES

Kurnit, Disney Named to Top Posts

Washington, DC and New York, NY, August 9, 1995 -- MCI Communications
Corporation and News Corporation today announced a joint venture to launch
new, Internet-based online services for consumers and businesses. The
joint venture will include all of the current online, interactive
operations of each of the companies.

MCI's Scott Kurnit has been named chief executive officer and president of
the joint venture and News Corp.'s Anthea Disney has been named
editor-in-chief of the joint venture.

MCI businesses that will be part of the joint venture include MCI's
Information Services/Entertainment Company, FYI On-line services, MCI's
supersite on the Internet's World Wide Web, and MCI's premier electronic
mail service -- MCI Mail. News Corp. businesses to be contributed include
Delphi Internet Services Corp., a leading provider of comprehensive
Internet access for consumers since 1992, as well as Kesmai Corp., a
pioneer in multiplayer, interactive, online games.

Kurnit was previously president of MCI's Information Services/
Entertainment Company. Disney was formerly the editorial director of
Murdoch magazines and editor-in-chief of TV Guide -- the world's largest
circulation magazine.

Also assisting the joint venture will be Vinton G. Cerf, MCI's senior vice
president of Data Architecture. Dr. Cerf, known as the "Father of the
Internet" re-joined MCI last year and has played a significant role in
developing and bringing to market MCI's suite of Internet-related products
and services.

entertainment and communications products and services that are integral
to the way people live and work. These new online services will add
multiple dimensions to how people can interact," said Rupert Murdoch, News
Corp. chairman and chief executive officer. "With its wealth of offerings
and its power to enable people to establish personal communication links,
this venture will bridge different communities of interest, create
opportunities to build and grow relationships and enrich the daily
experience of individuals from all walks of life."

the unbounded resources of the Internet while at the same time providing

programming unavailable anywhere else."

Scott Kurnit. "Our online services will deliver a totally different kind
of Internet experience -- full, friendly, and effortless access -- closely
linked with lively and innovative content. Currently, online service
providers offer Internet access that is not well-integrated with all their
other online activities, while Internet access providers have few content
or service offerings," noted Kurnit.

"We are developing brand new programming for these new online services,"
said Disney. "It will be as engaging as any magazine is to read or any TV
show is to watch, but our programming will be produced specifically for
the online environment. It will be so deeply engaging that people will
want to keep coming back again and again."

Murdoch and Roberts also noted the significant contributions made by Dr.
Alan E. Baratz, former president and chief executive officer of Delphi
Internet. Dr. Baratz has been recognized for establishing a strong
strategic and technological foundation for the new service. His vision for
incorporating Internet-based standards for the platform, as well as his
understanding of Web-based publishing will help put this joint venture far
ahead of any competitive service. Baratz, who will sit on the board of
directors for the joint venture, will become President, News Technology
Ventures, with responsibility for pursuing new technology-based media
businesses for News Corp. Internet-based online services, and much more.

The new online venture will provide a wide range of interactive products
and services, including a comprehensive guide to the Internet, an online
news service for consumers and professionals, a wide variety of games, an
engaging online space for children, and a host of specialized programming
developed jointly with News Corp. companies like TV GUIDE, Fox
Broadcasting, Twentieth Century Fox, fX, HarperCollins, and News Corp.'s
worldwide news properties as well as a wealth of other non-affiliated
partners.

Underlying all of these unique offerings will be common capabilities of
interactive chatting, electronic bulletin boards, opinion polling, and the
ability to personalize the service for easy and rapid access to topics of
individual interest. The online services will incorporate industry-
leading, easy-to-use core applications for content browsing, electronic
mail, interactive chat, telnet and ftp.
