CA BEGINS IMMEDIATE INVESTMENT IN LEGENT PRODUCT DEVELOPMENT AND SUPPORT

ISLANDIA, N.Y., August 9, 1995--Computer Associates today began a program
of extensive investment in development, support and integration for Legent
Corporation products while integrating the operations of the $500 million
systems management supplier. More than 90 percent of the Legent shares
were tendered in favor of the acquisition.

The move strengthens CA's client/server product lineup worldwide and
provides additional funding for the newly-acquired products. All
operations and products will continue under the CA name.

Legent development centers will remain in California (Woodland Hills, Santa
Ana and Santa Clara), Denmark (Copenhagen), Illinois (Lisle),
Massachusetts (Marlboro), New Jersey (Jersey City), Ohio (Columbus),
Pennsylvania (Pittsburgh), Texas (Houston), Washington (Seattle and
Bellevue) and in the Washington, D.C. suburbs of Reston and Herndon,
Virginia. CA will open a child development center in Herndon modeled after
the award-winning facility at its world headquarters.

CA Chairman and CEO Charles B. Wang announced that a program of investments
in Legenttechnology has already begun under the joint direction of CA and
former Legent technologists.

"The synergistic benefits are tremendous,"said Wang. "Together, we'll be
able to give all of our clients new products and services that would have
taken us many years to develop separately."

CA will stand behind all existing Legent licensing agreements. Clients will
also now have the option of licensing former Legent products under CA's
innovative licensing plans, which offer flexibility and savings over
traditional licensing.

CA's new products fall into three broad categories:

* Distributed systems management, including multiplatform agent-based
management tools,client/server help desk and problem management,
distributed storage management, cross-platform connectivity technology,
performance and capacity planning, and operations management. Product
lines include AgentWorks, Paradigm/XP, Reliance/XP, Prevail/XP and
PARAMOUNT/XP.

* Distributed data management, including multiplatform software
distribution, data transfer and warehouse-enabling technology. Products
include DistribuLink, XCOM and MLINK.

* Application management, including multiplatform version control, change
management and application configuration. Product lines include Endevor.

In an unprecedented move designed to attract and retain former Legent
employees, CA has created an innovative, one-of-a-kind benefits program
specifically for the Legent acquisition. The Retention Benefits Program
provides former Legent employees, who accept full-time positions at CA,
with generous stock options and incentives up to 130 percent of the
amounts they would have received as severance payments if they had not
been offered a position with CA.

Legent employees not offered positions with CA as part of the restructuring
will be eligible for generous severance packages and outplacement
