ALLIANCE SEMICONDUCTOR SECURES PORTFOLIO ASIC DESIGN LIBRARY LICENSE FROM
ASPEC TECHNOLOGY

Sunnyvale, CA -- April 24, 1995 -- Aspec Technology, Inc., the leading
supplier of ASICWare design libraries to personal computer and
microelectronics industries, announced today a licensing agreement with
Alliance Semiconductor Corp., Sunnyvale, CA. Alliance, a leading provider
of graphic chips for PCs, has purchased Aspec's Portfolio family of ASIC
design tools. No value was given for the license.

Alliance has already generated several products using the Portfolio library
and the Aspec design methods. As part of the licensing relationship, Aspec
also provides Alliance with value-added ASIC engineering and design
services for its product family.

The Portfolio library license allows Alliance to rapidly create low-cost
0.8 micron and lower ASIC gate array and embedded array products. The
turnkey software library incorporates Aspec's advanced HDA (high density
array) technology and provides the ability to quickly and predictably
design high-density, high-performance ASIC circuits. HDA is a proven,
reliable architecture that provides higher density, lower power and higher
speed circuits than other architectures.

Sanjeev Renjen, Alliance's vice president of system products, said 'We
wanted a library that would ensure that our chips work right the first
time, and also provide quick-turn product revision capability. That means
a proven architecture embodied in a reliable and stable technology. With
the Portfolio library, we got this and more, including a high level of
service and support, all of which confirms our choice.' Renjen said too
that the Portfolio library makes it easier for Alliance to work with its
silicon suppliers, and transport designs between them, as necessary.

Conrad Dell'Oca, Aspec's president and CEO, said, "As no one develops CAD
tools any longer for themselves, Aspec's third-party software libraries
now makes it easy and risk-free to rapidly obtain designs, and secure
production with multiple fabs. That leaves the customer free to
concentrate on product development, not library development. It doesn't
make sense for them to be in the tool or library business."

Dr. Dell'Oca continued, "Alliance's choice of our Portfolio product family
gets them to market faster, and controls their costs through ASIC
self-sufficiency. This agreement is another milestone toward our
acceptance as the new ASIC standard."

The licensing of Aspec's Portfolio family of products provides a turnkey
design-capability, including all methodology, technology libraries,
software, compilers and megacells necessary to design low-cost proprietary
structured custom circuits (ASICs and ASSPs). Portfolio design libraries,
integrated with all popular third-party CAD tools, are based on a
standard, reliable architecture using advanced tool- and
foundry-independent technology. Portfolio provides the ability to create
ASIC designs without having to select in advance the target foundry. User
designs can then be multiple-sourced and produced by third-party silicon
suppliers, all with rapid design and production turnaround at lower cost.
Because of its inherent fast time to market and low cost attributes, the
technology is expected to have a significant impact on the PC and
peripherals industry.
