Orange Systems, Inc. Acquires International Software Systems Inc.

Calgary, Alberta, Canada and Gaithersburg, MD - August 15, 1994 - Orange
Systems, Inc., the developer of the AutoCAD-based DrawMaster HVAC and
PipeCAD products, and International Software Systems Inc. (ISS), the
developer of CADPIPE plant design software, today announced the
acquisition of ISS by Orange Systems, Inc.

This acquisition will make more AutoCAD-based products available to both
International Software Systems' and Orange Systems' users. Both companies
offer technical strength and years of CAD expertise. The CADPIPE line of
products meet the needs of the process power and piping markets, while
Orange Systems' DrawMaster HVAC and PipeCAD products service the
engineering, design and construction markets in HVAC, commercial piping
and plumbing.

"Our companies have had a working relationship for the past three years,"
explains Don Chapman, President of International Software Systems. "Orange
Systems will offer more than complementary products; they add 12 years of
CAD experience plus the financial resources ($20 M in 1993 sales) to
sustain large scale development and market growth. We expect that our
users will be very pleased with the products and services they will see
from this merger, starting with an increase in the marketing capacity and
presence of CADPIPE in the U.S. through Orange Systems' national sales and
marketing staff. Our distribution network overseas will also benefit by
being able to offer a wider range of products to their customers."

industrial piping and plant expertise into our CAD division," says Paul

move very quickly to capitalize on the strengths of both product lines to
provide the end user with the added capabilities of true 3-D design,
Windows compatibility and the interface to estimating and design software
programs."

Orange Systems' DrawMaster products are full 3-D products that run on the
DOS and Windows versions of AutoCAD Release 12. The CADPIPE products are
also AutoCAD-based offering 2-D and 3-D capabilities for DOS, UNIX and
Windows on AutoCAD Release 12.

Orange Systems was established in 1981 with the three-fold objective of
providing marketing, support and service excellence for high quality,
leading edge computer and data processing products and applications.
Orange now employs over 150 employees at multiple locations in the U.S.
and overseas. In 1993, Orange Systems reported $20M in sales and

International Software Systems Inc. develops and markets AutoCAD-based
