SYBASE MAKES OFFER TO ACQUIRE INTERNATIONAL BUSINESS RE-ENGINEERING
CONSULTING FIRM

Acquisition of OASiS Group PLC Will Add Business Re-engineering Consulting
and Methodology to Enhance Sybase's Technology and Services for Delivering
Enterprise Solutions.

EMERYVILLE, CA, November 30,1993 -- Sybase, Inc., today announced that it
has made offers to acquire all the ordinary and options shares of OASiS
Group PLC, an international business re-engineering consulting firm
headquartered in the United Kingdom (UK). The OASiS board of directors has
unanimously recommended that OASiS shareholders and option holders accept
the offers. Sybase has already received agreements to accept the offers
from shareholders representing a majority of the ordinary shares. It is
anticipated that the transaction will be completed and Sybase shares
issued in January 1994.

Under terms of the proposal, Sybase will issue new shares of Sybase Common
Stock valued at $21 million in exchange for all outstanding ordinary
shares of OASiS. The transaction is expected to be accounted for as a
pooling of interest. The acquisition is subject to acceptance by the
holders of 95% of the fully diluted shares of OASiS and the satisfaction
of various closing conditions, and is governed by UK law and the UK code
on takeovers and mergers.

the way enterprises do business. Over the past seven years, OASiS has
developed a proven methodology for defining business processes. Working
together, OASiS and Sybase intend to leverage Sybase technology,
particularly the Enterprise Momentum toolset, to automate the OASiS
methodology and delivery of business models. The SYBASE architecture and
products will be used to transform these models into client/server
applications.

services which employs over 400 people. Current Sybase consulting services
are focused on information technology architecture design and application
development. Sybase also works closely with its Open Solutions partners to
provide customers with systems integration services and turnkey, vertical
