This may be way off, but have you put a COMSPEC= statement
in your AUTOEXEC.BAT file?  It might be that DOS cannot find
its command interpreter (COMMAND.COM) and then bombs out.

Here's a sample comspec line:

SET COMSPEC=C:\DOS\COMMAND.COM
