Lots of copies on eBay that are legitimate in original wrapper with
license key.  Looks like the price varies from around $20 - $30.  You
might do better at a swap meet if you can obtain a CD that is legit.

The PNY Flash drive does not need drivers to work with WinME, Win2000
or WinXP.  It's already supported by the OS.
