The big selling point was Internet Connection Sharing. There are some 
suggestions that USB support was updated, but I haven't seen that confirmed 
anywhere.

Drivers for some newer devices, some bug fixes.

Nothing big enough to warrant upgrading (unless you really need ICS and don't 
want to spring for a 3rd-party program to do it).
