Could this just be to do with the fact that Win2k is based on NT whereas WinME is based on Win9x platform? i.e. the whole structure will be completely different (kernal, HAL e.t.c.) therefore requiring a clean install). BTW. Even though you'll have to do a clean install, it's an easy install.
