By most accounts, WXP is to W2K as W98 was to W95 - a lot of the same with that latest fixes and some new features. I have some concern with some of these features, extending MS' reach into an ongoing money-making venture for each feature you use. MS wants to charge a fee for each e-biz thing you do that's part of the OS (digital pictures comes to mind - send it off to some company for printing, say, and MS charges it's own fee). To me, that's not a function of the OS. I want an OS to enable me to do something. If I do business using it, I'm doing business with one other company. I don't want to pay a "freight" charge for simply using the service.
