The only real problem I see with your hardware is the lucent winmodem.
winmodems don't work well in linux.

I ran Suse8.1 on a 700mhz celeron HP pavilion for two years with no
problems.  There was an issue with the plug-n-play bios and I cannot
remember the solution but it did work.

I'm also not sure about the ATI rage support under Xwindows.  I think it
is old enough to work but I'm not sure.
