Subj : Problem with grep.exe

When using grep from a Windows 2000 console it seems that the character ^ isn't recognized.  For instance, 

grep  -i  [^a]b  *.c

has exactly the same output as

grep  -i  [a]b  *.c

Has anyone observed this behavior? Any ideas for cause/solution?
